    Penelope is an Associate at KATS in the Corporate & Commercial department.

    She routinely advises clients on a broad spectrum of corporate and commercial legal issues. She has provided practical advice to domestic, regional and international clients on commercial transactions and regulatory issues cutting across different practice areas including Mergers & Acquisitions, Technology, Media & Telecommunications, Banking & Finance and other regulatory matters. She provides general corporate advisory to the Firm’s corporate clients on potential legal risks and regulatory compliance.

    • Advising Africa Finance Corporation, a public-private partnership in connection with its debt financing of up to USD 100 Million to Mahathi Infra Uganda Ltd and acquisition of a 27% equity interest in the Company.
    • Advising CFAO SAS (CFAO) in connection with its investment in Africa Chemist & Beauty Care Inc.’s subsidiary in Uganda, Africa Chemist and Beauty Care (U) Limited.
    • Advising Olea Insurance Solutions Africa in connection with the acquisition of the majority shareholding in Ballpack Insurance Group Limited.
    • Representing various individual, local and international clients in connection with diverse sale and purchase transactions through due diligence, negotiating of sale agreements, and completion and registration formalities.
    • Advising various clients across an array of sectors in connection with their local and multi-jurisdictional due diligence exercises for M&A transactions, relating to corporate entities, regulatory compliance and material commercial arrangements.
    • Assisting a Japan-based company that operates across 20 offices worldwide, in connection with its potential acquisition of a majority stake in an Insurance Company in Uganda on the regulatory and licensing aspects.
    • Advising various clients in respect of local Competition law issues related to Mergers & Acquisitions.
    • Advised Airtel Uganda, on its successful listing on the Uganda Securities Exchange.
    • Advised Coulson Harney LLP in connection with undertaking vendor due diligence on Java Group subsidiaries in Uganda namely Java Coffee and Tea Ltd, Java House Coffee Shop Uganda Ltd and Planet Yogurt Ltd.
    • Advising on a variety of Employment matters including redundancy, unlawful deduction of wages, termination of employment and advising clients on the legal duties and risks in respect of retaining or terminating employment in various transactions in their proposed restructurings.
    • Acting for diverse private clients in connection with negotiation, drafting and execution of private commercial agreements, including assets and share purchase agreements.
    • Conducting due diligence and preparing various transaction documents for clients in connection with their Private Equity investments.
    • Acting for various clients in the registration of various legal entities, including the tax considerations and implications of setting up using different investment vehicles, corporate restructuring, and preparation of board and governance charters among others.
    • Acting for various Banks including Equity Bank, dfcu Bank, and Bank of Uganda in connection with the perfection of securities including through preparation, review and registration of charges and debentures, preparation of loan agreements, deeds of guarantee and assignment and discharges among others.
